These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User", "you", "Member", "Model"), and SkyPrivate ("we", "us", or "our"), concerning your access to and use of the en-skyprivate.com website and our proprietary pay-per-minute billing platform.
By registering for an account, accessing the directory, initiating a call, or using our services in any manner, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the Site and must discontinue use immediately.
1. Eligibility and Age Verification
SkyPrivate is strictly an 18+ platform. The Service contains sexually explicit material and adult content. By accessing the Site, you represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater. You also warrant that viewing adult material is legal in the geographic location from which you access our Site.
If you register as a Model or Content Creator, you will be subjected to a rigorous KYC (Know Your Customer) and AML (Anti-Money Laundering) identity verification process. We strictly comply with 18 U.S.C. 2257 and subsequent reporting laws. Falsifying your age or identity is a violation of federal law and will result in immediate termination, forfeiture of funds, and reporting to the appropriate legal authorities.
2. Description of Services
SkyPrivate provides a digital directory and a proprietary billing bridge that facilitates pay-per-minute video interactions between Members and independent Models. Our platform integrates with third-party communication applications—specifically Microsoft Teams, Discord, Telegram, and Skype—to handle the actual video and audio transmission.
It is important to note that SkyPrivate only provides the billing technology and directory interface. We do not host the video streams. Therefore, your use of Teams, Discord, or Telegram is also subject to the respective End User License Agreements (EULAs) and Privacy Policies of those third-party platforms. SkyPrivate is not affiliated with, sponsored by, or endorsed by Microsoft, Discord Inc., or Telegram Messenger LLP.
3. User Accounts and Security
To use the core features of the platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are entirely responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations. Sharing accounts, specifically to bypass paywalls or model blocklists, is strictly prohibited.
4. Billing, Payments, and Cryptocurrency
SkyPrivate operates on a pay-per-minute and prepaid show model. Prices are set independently by the Models. By initiating a call or requesting a prepaid show, you authorize SkyPrivate to deduct the corresponding amount from your wallet balance in real-time.
- Funding Your Account: Members can add funds via credit card, debit card, or cryptocurrency (Bitcoin, Ethereum, Litecoin). All transactions are processed securely. Fiat transactions will appear on your statement under a discreet descriptor.
- Cryptocurrency Policy: Due to the irreversible nature of blockchain transactions, all cryptocurrency deposits are final once confirmed on the network. SkyPrivate is not responsible for funds sent to incorrect wallet addresses.
- Refunds: All pay-per-minute charges are final. If you experience technical difficulties during a call caused directly by our billing plugin, you must contact support within 24 hours to request an investigation. We do not issue refunds for dissatisfaction with a model's performance, as they are independent contractors.
- Chargebacks: We maintain a zero-tolerance policy for fraudulent chargebacks. Initiating an unwarranted chargeback will result in a permanent ban across the SkyPrivate network, and we reserve the right to dispute the chargeback with your banking institution using your IP logs and account data.
5. Model Specific Terms (For Creators)
Models utilizing SkyPrivate act as independent contractors. You are not an employee, agent, or partner of SkyPrivate. You have the total freedom to set your own schedule, dictate your per-minute rates, and define the boundaries of your shows.
Payouts: SkyPrivate is proud to offer a 90% payout rate to models (or varying rates as dynamically displayed on your dashboard depending on promotional periods or specific studio agreements). You can request withdrawals via Bank Wire, Paxum, or Cryptocurrency. You are solely responsible for declaring your income and paying any applicable local, state, or federal taxes in your jurisdiction.
6. User Conduct and Prohibited Activities
We strive to maintain a safe and consensual environment for our creators. As a User (Member or Model), you agree not to use the Site to:
- Record, capture, screenshot, or distribute any part of a private video call without the explicit, written consent of the Model.
- Engage in harassment, stalking, doxxing, or threatening behavior towards Models or other Members.
- Solicit models for offline, in-person meetings (escorting/prostitution), which is strictly forbidden and will result in an immediate ban.
- Upload or transmit viruses, Trojan horses, or other malicious code.
- Attempt to bypass the pay-per-minute plugin or solicit models to accept payments outside of the SkyPrivate ecosystem.
Any violation of these prohibited activities gives SkyPrivate the right to instantly terminate your account without a refund of your remaining wallet balance.
7. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
Models retain the rights to the content they generate during shows, but grant SkyPrivate a limited, non-exclusive license to display their profile pictures, biographies, and promotional videos in our directory for the purpose of marketing their services.
8. Disclaimers of Warranties
The Site and its services are provided on an "as-is" and "as-available" basis. SkyPrivate makes no warranties, either express or implied, about the reliability, accuracy, or availability of the service. We do not guarantee that your use of the Site will be uninterrupted or error-free. You agree that your use of the Site and our services will be at your sole risk.
SkyPrivate does not endorse, guarantee, or assume responsibility for the accuracy of statements made by Models on their profiles, nor do we guarantee the quality of the shows provided, as Models operate independently.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will SkyPrivate, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, even if we have been advised of the possibility of such damages.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and defined following the laws of the jurisdiction in which SkyPrivate's holding company is registered. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by binding arbitration under the rules of the applicable arbitration association, rather than in court.
11. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or the pay-per-minute services.
